Agreement to Terms
By accessing or using AdsBuc Media services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.
Services Description
AdsBuc provides paid media management, programmatic advertising, publisher monetization, and omnichannel messaging services. Specific services, pricing and deliverables are outlined in individual service agreements or insertion orders.
Eligibility
You must be at least 18 years old and have the authority to enter into binding contracts. By using our services, you represent that you meet these requirements.
Account Registration
Some services require account registration. You are responsible for maintaining the confidentiality of your credentials and all activities under your account. Notify us immediately of any unauthorized access.
Advertiser Terms
Advertisers must comply with all applicable laws and platform policies. You are responsible for the content, targeting and legality of your campaigns. AdsBuc reserves the right to reject or pause campaigns that violate policies or laws. Payment terms are Net-30 unless otherwise agreed. Unpaid invoices may result in campaign suspension.
Publisher Terms
Publishers must provide accurate traffic and inventory information. Fraudulent, incentivized or bot traffic is prohibited and may result in account termination and non-payment. AdsBuc pays publishers Net-30 after month-end. We reserve the right to withhold payment for invalid traffic or policy violations.
Intellectual Property
AdsBuc retains all rights to our platform, technology, trademarks and proprietary materials. You grant us a license to use your content (ads, creative assets, brand materials) solely to deliver agreed services. You represent that you have rights to all content you provide.
Prohibited Activities
You may not use our services to transmit illegal, fraudulent, defamatory or infringing content, engage in fraudulent activity or manipulation, violate platform policies or advertising regulations, send unsolicited communications (spam), or interfere with our systems or other users.
Data Protection
Both parties shall comply with the Digital Personal Data Protection Act, 2023 (DPDPA) and applicable data protection laws when processing personal data through our services. Advertisers and publishers are responsible for obtaining necessary consents from data principals before sharing personal data with AdsBuc. Specific data processing terms may be outlined in individual service agreements.
Compliance and Indemnification
You are responsible for compliance with all applicable laws (advertising standards, data protection, consumer protection, DLT regulations for SMS in India, etc.). Each party agrees to indemnify the other against third-party claims arising from its own breach of these terms, negligence, or violation of applicable laws. You additionally indemnify AdsBuc against claims arising from the content you provide or your campaigns.
Warranties and Disclaimers
Services are provided 'as is' without warranties of any kind. AdsBuc does not guarantee specific campaign results, uptime, traffic quality, or outcomes. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
Limitation of Liability
AdsBuc's liability is limited to the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages, including lost profits, revenue or data.
Term and Termination
These terms remain in effect while you use our services. Either party may terminate with 30 days written notice. AdsBuc may suspend or terminate accounts immediately for policy violations, non-payment, or fraud. Upon termination, you remain liable for outstanding fees and obligations.
Force Majeure
Neither party is liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, pandemics, war, government actions, internet or telecommunications failures, or utility outages. The affected party must notify the other promptly and resume performance as soon as practicable.
Dispute Resolution
These terms are governed by the laws of India. Disputes will be resolved through arbitration in Gautam Buddha Nagar, Uttar Pradesh under the Indian Arbitration and Conciliation Act. Each party bears its own costs unless otherwise awarded.
Changes to Terms
AdsBuc may modify these terms at any time. Material changes will be communicated with at least 30 days notice. Continued use after changes constitutes acceptance.
